Proofly Terms of Service

Proofly is made by CHRISPSDesign ("we"), the Canadian company that owns Utilwell. These terms apply to every store ("you") that installs Proofly from the Shopify App Store.
1. The service
Proofly imports, stores, moderates and displays product reviews for your Shopify store. Reviews are stored in your own Shopify store as Shopify custom data. Proofly reads and writes products and its own custom data only; it never reads orders or customers.
2. Plans and billing
- Plans, prices and published-review allowances are shown on the plan page in the app before you choose. Proofly is billed by Shopify on your Shopify invoice. Paid plans include a free trial.
- You can change plan or cancel at any time, or uninstall the app. Shopify handles any proration or refunds under its own billing rules.
- Plan limits never delete reviews. Reviews over your allowance are held and published oldest first when you have room. On a downgrade, reviews already published stay visible.
3. Your reviews and your responsibilities
- Reviews belong to you and stay in your store if you uninstall. You can export every review as a CSV on any plan.
- You are responsible for the reviews you import, publish, hide or reply to, and for following the law and Shopify's rules on reviews, including not publishing fake reviews, not hiding reviews in a misleading way, and disclosing incentives where required.
- You confirm you have the right to import the reviews you upload.
4. Data processing
For personal data in reviews, you are the controller and we are your processor. We process it only to provide Proofly to you, as described in the privacy policy; never sell it or use it for advertising; delete everything we hold for your store 48 hours after uninstall; use Render and Neon as sub-processors and tell you before adding another; and tell you without undue delay, and within 72 hours, if we become aware of a breach affecting your data.
5. Availability and liability
We aim to keep Proofly available and to fix problems quickly, but it is provided "as is". To the extent the law allows, our total liability is limited to the fees you paid for Proofly in the 12 months before a claim, and we are not liable for indirect or lost-profit losses.
6. Changes
We may update these terms. Material changes will be announced in the app before they take effect.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Nothing in them limits rights you have under consumer protection law that cannot be limited.
